Work begins only after both parties agree to a written proposal outlining the services, fees and terms. We reserve the right to decline or discontinue any engagement.
Fees are set out in your individual proposal. Invoices are payable according to the terms stated on the invoice or agreement. Late or non-payment may result in suspension of services. All fees are quoted in U.S. dollars unless stated otherwise.
You agree to provide accurate information, timely feedback and any access or materials reasonably required for us to deliver the services. Delays caused by missing information may affect timelines.
Deliverables created for you become your property upon full payment, except for our pre-existing materials, tools and methodologies, which remain our property. You grant us permission to use non-confidential work in our portfolio unless agreed otherwise.
Both parties agree to keep confidential any non-public business information shared during the engagement.
Our services are provided in good faith and based on professional expertise; however, we do not guarantee specific business results, revenue or rankings. To the maximum extent permitted by law, our total liability for any claim is limited to the amount paid for the services giving rise to the claim.
Either party may terminate an engagement with written notice as specified in the service agreement. Fees for work completed up to the termination date remain payable.
These Terms are governed by the laws of the United States and the state in which Silvercrest Solutions LLC is registered, without regard to conflict-of-law principles.
We may update these Terms from time to time. Continued use of our website or services constitutes acceptance of the updated Terms.
